Crane Co. to strengthen RF and microwave electronics business with its acquisition of Merrimac Industries

STAMFORD, Conn., 23 Feb. 2010. Crane Co. in Stamford, Conn., aims to strengthen its RF and microwave electronics business with its pending acquisition of RF microwave signal processing specialist Merrimac Industries Inc. in West Caldwell, N.J.

Crane's microwave activities revolve primarily around the company's Signal Technology Olektron and Signal Technology locations in Beverly, Mass., and Chandler, Ariz., which are part of the Crane Co. Aerospace and Electronics division. Merrimac Industries makes RF microwave signal processing components and subsystems for defense, satellite communications, commercial wireless, and homeland security applications.

Merrimac's products and customers for space and military applications complements Crane's microwave products, Crane officials say. Merrimac has about 210 employees and annual revenues of about $30 million.

Crane has completed its tender offer for Merrimac Industries, and has accepted 2,796,642 validly tendered Merrimac shares, or about 92.5 percent Merrimac shares of common stock. Crane executives say they expect to complete their acquisition of Merrimac through a short-form merger.

Crane Aerospace & Electronics include brands such as P.L. Porter, Lear Romec, ELDEC , Hydro-Aire, Interpoint, Keltec, Olektron, and Signal Technology. In addition to its aerospace and electronics sector, Crane also has interests in materials manufacturing, vending and payment systems, fluid handling, energy, and control technology.
